VP of Business Development & General Counsel (Finance)
Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
Works with senior management to explore new business opportunities and strengthen relationships with existing customer principals and developing new channels.
Provides legal advice on issues concerning contracts, marketing documents, property interests, collective bargaining agreements, government regulations and patents.
Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate business leaders to define a strategic defense and approves settlements of disputes where warranted.
Take part in settlement negotiations or depose witnesses if needed.
Responsible for the establishment of internal governance policies and manage the impact of external factors
Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and works closely with regulatory engineers to comply with regulations.
Structures and manages the company's internal legal function and staff.
Oversees the selection, retention, management and evaluation of all outside counsel.
Advises on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities.
Compiles, prepares, and presents budget recommendations for area of responsibility and manages budget for same.
Coaches, manages, mentors and develops Associate General Counsel, Paralegals, Legal assistants, Regulatory Engineers, Administrative Assistants, and/or Clerks…as appropriate
SKILLS & ABILITIES
Education: Juris Doctorate required from accredited university
Experience Required:
Admitted to the bar in any state
Minimum of 20 years' experience in a corporate environment with an emphasis on legal matters and risk management.
Minimum of 15 years' experience working in the HVAC industry with an understanding of distribution, partner channels and HVAC industry issues.
Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.
Experience in directing strategy and managing complex litigation cases.
Experience Required:
Twenty years' experience with legal matters, preferably initially with a private law firm before moving to an in-house position.
More than fifteen years' experience at a senior management position for a national/global HVAC company.
Broad, overview experience in intellectual property law, including patent law, licensing of IP rights and IP due diligence.
Exposure to the following areas of law: antitrust, computer law and privacy.
Experience with insurance matters and risk management.
Computer Skills: Basic computer skills required in Microsoft Office software and Outlook
Certificates & Licenses: Member of a state bar in good standing after passing bar exam
