Deputy General Counsel (Vice President) (Legal)



The successful candidate must possess experience in real estate, capital raising, an understanding of FINRA, SEC, SOX, securities and regulatory requirements, general contract law, lease negotiation and lending/finance law, HR & employment law and possess experience managing outside counsel.

Your career track:  Direct succession to General Counsel within 2-3 years

Your purpose:

Supporting various functions, including sales, lease, closing, refinance, property tax protests, insurance claims and general support. This role will report to and assist the General Counsel with all real estate matters.

Your responsibilities:

  • Participate with team members involved in developing strategy in conjunction with various business units
  • Responsible (with others) for development and implementation of policies and procedures related to real estate activities
  • Represents (with others) the company in the acquisitions of retail, office, industrial, warehouse and coordinating due diligence review
  • Drafts leases for retail, office, and industrial properties
  • Monitors civil litigation involving the company
  • Assists with real estate broker and salesperson licensing
  • Prepares and participates in property tax protests on behalf of the company
  • Drafts purchase and sale agreements, loan documents (purchase and refinance), deeds, deeds of trust, and other closing documents
  • Reviews tenant leases for legal and internal compliance
  • Reviews and coordinates property management functions
  • Point of Contact for legal Property Management related issues
  • Documents and manages Landlord/Tenant disputes
  • Prepares Landlord default notices
  • Closing and Refinance Support
  • Coordinating in-house checklist items
  • Construction and Contracts reviews
  • Assist in general legal questions and issues
  • Assists and performs duties as requested by General Counsel

  • Highly organized, detail-oriented, and motivated individual with 0-5 years of real estate law experience
  • Law Degree
  • Must have the ability to handle multiple projects simultaneously
  • Active Texas state bar license and member in good standing with Texas state bar
  • Excellent References
  • Commercial real estate and/or property tax experience is a plus
  • Demonstrated ability to handle multiple tasks and priorities
  • Must be a team player
  • FINRA license a plus
